ZIPS Car Wash, LLC (“ZIPS”, “us” or “we”) offers various car wash services and other services and programs. These programs and services may be made available to you via: https://zipscarwash.com/ (the “ZIPS Website”), as well as through ZIPS’ other brands: Rocket Express Car Wash (https://rocketexpress.zipscarwash.com/) (the “RE Website”), Jet Brite Car Wash (https://jetbrite.zipscarwash.com/) (the “JB Website”), and each of their respective mobile applications (each, an “App”) and physical locations (the ZIPS Website, RE Website, JB Website, Apps, and physical locations are collectively referred to as the “Service”). You understand that access to certain of these services and programs may require a fee. These Terms constitute a legal binding agreement between you and ZIPS and govern your use of the Service. These Terms also incorporate by reference our Privacy Policy and may also contain or reference additional terms applicable to your use of the car wash services and/or the Service.
By using the Service and/or clicking “I accept” in connection with your registration on the applicable website and/or App, you hereby agree to comply with and be bound by these Terms. You also represent that you are at least 18 years old and agree to abide by all applicable local, state, national, and international laws and regulations with respect to your use of the Service. Additionally, if you opt to join an unlimited car wash program (such as ZIPS Unlimited™, the Unlimited Car Wash Club or a Jet Pass™, or any other similar program) , you hereby agree to comply with and be bound by the Membership Program Terms of Service, which are incorporated herein by reference. If you opt to join an unlimited car wash program and do not agree to the Membership Program Terms of Service, you may not access or use the Service and should cease such use immediately, and in the case of the App, you should uninstall the App immediately.
You acknowledge and agree that ZIPS may update, modify, replace, update or change these Terms, in whole or in part, and at any time in its sole discretion, with or without prior notice to you. We will notify you of any changes to these Terms by notifying you via the email address registered with your Account (defined below) and/or posting such notice to the ZIPS Website, RE Website, JB Website and/or any of the Apps. These changes will be effective as of the date the revised version of the Terms are posted and made available through the Service. Your continued use of the Service and/or your car wash membership plan (subject to the Membership Program Terms of Service) constitutes your acceptance of any changes or modification to these Terms.
1. Use of the Service
1.1. Access to the Service. Subject to these Terms, we hereby grant to you a personal, non-exclusive, non-transferable, limited, and revocable license to use the Service (and associated Content (defined below) for personal use only in accordance with these Terms. If you download or otherwise access the App, ZIPS, Rocket Express, and Jet Brite hereby grant to you a personal, non-exclusive, non-transferable, limited, and revocable license to use the App (including any Content made available in the App) for your personal, non-commercial use. You understand and agree that you do not receive title to the ZIPS Website, RE Website, JB Website and/or any of the Apps, or any Content, and you may not distribute, make available or use the ZIPS Website, RE Website, JB Website and/or any of the Apps, or Content other than as permitted under these Terms. These Terms also govern any updates to, or supplements or replacements for, the App, unless separate terms accompany such updates, supplements, or replacements, in which case the separate terms will apply. To the extent the App requires, or permits utilization of, wireless or cellular data access, you shall be independently responsible for securing the necessary data access service. The provider of such access to your mobile device may charge you data access fees in connection with use of the App. You acknowledge that you are solely responsible for all such charges payable to third parties. By downloading the App, you warrant that you are not located in any country, or exporting such software to any person or place, to which the United States has embargoed goods. You agree to abide by U.S. and other applicable laws, including export control laws, and not to transfer, by electronic transmission or otherwise, any software or other content downloaded from the App to a destination prohibited by such laws, without first obtaining, and then complying with, any requisite government authorization.
If you breach any of these Terms, your right to access and use the Service may terminate immediately, with or without notice. Upon the termination of your access right, for any reason, you must immediately stop using the Service, including all Content, and return or destroy all copies, including electronic copies, of the Content in your possession or control.
1.2. Account Registration. In order to use certain features and components of the Service, you must register an account (an “Account”). By registering an Account, you may be able to, for example, manage your car wash membership plan (as further set forth in the Membership Program Terms of Service), manage your Mobile App Rewards (defined below), update your contact information and access additional benefits. All Account holders are responsible for (a) any activity that occurs through their Account and (b) updating and maintaining the accuracy of the information in the Account, including but not limited to a current, valid debit or credit card (which may be updated from time to time by you in accordance with these Terms) (the “Payment Method”) and email address associated with the Account. You are solely responsible to securely store and to not share your username or password to your Account with any other person. To register an Account, you must be at least 18 years of age. If you are submitting the personal information of any person other than yourself registering an account or purchasing any services or redeeming any rewards, you represent warrant that you have that person’s permission to provide us with that information, including all personal information.
1.3. Use Restrictions. You agree to use the Service in a manner consistent with any and all applicable rules and regulations and these Terms. You agree not to upload or transmit through the Service any computer viruses, Trojan horses, worms, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer. Any unauthorized modification, tampering or change of any information, or any interference with the availability of or access to the Service is strictly prohibited.
You agree that the access rights and license provided under these Terms do not allow you to use the Service on any device that you do not own or control, and you may not distribute the Service on any network where it could be used by devices owned by others. You may not modify, adapt, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code underlying the Service. You may not create any derivative works of the Service (including any Content). You also agree that you will neither (a) use any robot, spider, rover, scraper, or any other data-mining technology or automatic or manual process to monitor, cache, mask, extract data from, copy or distribute the Content (except as may be a result of standard search engine or Internet browser usage); nor (b) modify, provide access to, frame, reproduce, archive, sell, lease, rent, exchange, create derivative works from, publish by hard copy or electronic means, publicly perform, display, disseminate, distribute, broadcast, retransmit, circulate to any third party or on any third party website, or otherwise use the Service (including any Content) in any way except as specifically permitted by these Terms or otherwise in writing by us. You agree not to allow or assist any third party in violating or attempting to violate any of the above restrictions or prohibitions, whether or not for your benefit. The Service is subject to all restrictions on use, disclaimers of warranties and other provisions in these Terms. ZIPS, Rocket Express, and Jet Brite reserve all rights not expressly granted to you.
1.4. Email Notices. You understand and agree that ZIPS, Rocket Express, and/or Jet Brite will send you information relating to your Account, including the car wash membership plan and Mobile App Rewards (e.g., payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only to the email address associated with your account. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including any requirements that such communications be in writing. You agree that you are solely responsible for keeping the email address associated with your Account updated and accurate.
1.5. Text Messages.
1.5.1. Promotional Text Messages. You agree that Zips, Rocket Express, and Jet Brite (and others on their behalf) may send you automated marketing text messages (including, without limitation, communications about deals and promotions) to the mobile number you provided when you submitted your information at https://zipscarwash.com/, https://rocketexpress.zipscarwash.com/, or https://jetbrite.zipscarwash.com/ and clicked consent (or any number you later provide). You further agree that such messages may be sent using equipment that automatically selects and/or dials numbers. You acknowledge that this consent is not a condition of purchase, that message frequency will vary, and that message and data rates may apply.
1.5.2. Other Text Messages. You agree that ZIPS, Rocket Express, and Jet Brite (and others on their behalf) may send you automated text messages at the mobile number you provided (and any other number you provide). You further agree that such communications may include, without limitation, communications about appointments, purchases, services, balances, and debts. You further agree that such messages may be sent using equipment that automatically selects and/or dials numbers. You acknowledge that message and data rates may apply to such communications, and You agree that Your consent to these communications is material term of this Agreement that You cannot unilaterally modify or revoke.
1.5.3. Time of Day. You agree that, regardless of the purpose of the communication (including promotional or other messages), ZIPS, Rocket Express, and Jet Brite (and others on their behalf) may send you text messages at any time of day (including between 9:00 p.m. and 8:00 a.m. where you are located).
1.5.4. Contact Information. You represent and warrant that the name, address, telephone number(s), and other contact and payment information You provide to ZIPS, Rocket Express, or Jet Brite is accurate, complete, and current. You agree to notify ZIPS, Rocket Express, or Jet Brite immediately if there is any change to any of that information. Failure to do is a breach of this agreement.
1.6. Account Termination. To the maximum extent permitted by applicable law, and in addition to termination for non-payment as set forth in these Terms, ZIPS, Rocket Express, or Jet Brite may, for any reason and in their sole discretion, modify, refuse, suspend, deactivate, or terminate your Account, any purchased car wash membership plan, including your use of the carwash or other applicable services, without notice or liability. If ZIPS, Rocket Express, or Jet Brite refuses, suspends, deactivates, or terminates your Account, you may not register another Account (or purchase another car wash membership plan or participate in the Mobile App Rewards) without ZIPS’, Rocket Express, or Jet Brite’s prior permission. Further, ZIPS, Rocket Express, or Jet Brite may, at their discretion, suspend, deactivate or terminate your Account (and/or car wash membership plan or your Mobile App Rewards) to protect you, ZIPS, Rocket Express, or Jet Brite from identity theft or any other fraudulent activity. You may also deactivate your Account by following the instructions available on either the ZIPS Website, RE Website, JB Website and/or any of the Apps, as applicable. If your Account associated with the App has been terminated or deactivated while still carrying an account balance or having unused Pre-Purchased Washes (defined below) associated with it, ZIPS, Rocket Express, or Jet Brite shall not refund the value of such account balance or unused Pre-Purchased Wash to your then-current Payment Method. Any points or Rewards associated with your App Account will be treated in accordance with Section 4.6. If required under applicable state unclaimed property laws, we may transfer, report, or convey your remaining account balance and/or unused Pre-Purchased Washes to a state agency, as may be required.
Other Agreements. From time to time, ZIPS, Rocket Express, or Jet Brite may require you to follow additional rules, guidelines, or other conditions to sign up to use various special features or password-protected areas of the Service, to participate in certain promotions or activities available through the Service, or for other reasons. In such cases, you may be asked to expressly consent to these additional terms, for example, by checking a box or clicking on a button marked “I agree.” If any of the terms of a new click-through agreement are different than the terms of these Terms, the terms of the click-through agreement will supplement or amend these Terms, but only with respect to the matters governed by the “click-through agreement.”
2. Intellectual Property Ownership
2.1. By ZIPS, Rocket Express, or Jet Brite. The Service, including all of the software and code comprising or used to operate the Service, and all of the text, photographs, images, illustrations, graphics, sound recordings, video and audio-video clips, and other materials available through the Service (collectively, the “Content”) is protected under applicable intellectual property and other laws, including without limitation the laws of the United States and other countries. As between you and ZIPS, Rocket Express, and Jet Brite, you understand and agree that the Service and all Content, and all intellectual property rights therein, are the sole property of ZIPS, Rocket Express, or Jet Brite. You are authorized only to use the Content on the Service for personal use. Further, all of ZIPS, Rocket Express, and Jet Brite’s names, trademarks, brands and logos, and all related product and service names, designs and slogans contained in the Service are trademarks of ZIPS, Rocket Express, or Jet Brite, their affiliates, licensors and/or contractors unless otherwise clearly specified in writing. You may not use such marks without the prior written permission of ZIPS, Rocket Express, or Jet Brite. All other names, brands and marks are used for identification purposes only and may be the trademarks of their respective owners. All rights not expressly granted to you are reserved by ZIPS, Rocket Express, or Jet Brite.
3. Gift Cards
3.1. ZIPS and ZIPS’ other brands, Rocket Express Car Wash and Jet Brite Car Wash, may offer the option to purchase a gift card through the Service (“Gift Card”). We offer the Gift Card to make it easier for you to shop with us or provide a Gift Card as a gift to someone special. Unless otherwise required by law or as set forth in these Terms, the dollar value on any Gift Card is nonrefundable and may not be redeemed for cash. The dollar value on a Gift Card does not expire. The value on your Gift Card is not insured by the Federal Deposit Insurance Corporation (FDIC), nor does it earn interest.
3.2. ZIPS offers the option to purchase a Gift Card through the ZIPS Website. If a ZIPS Gift Card is purchased through the ZIPS Website, then such ZIPS Gift Card will be physically mailed to the address you specified and may only be redeemed at a participating ZIPS location. ZIPS, Rocket Express, and Jet Brite offer the option to purchase a Gift Card through the App. If a Gift Card is purchased through the App, the recipient will receive a redemption code they can use to load the Gift Card funds to their App Account. If the recipient does not have an App Account, then we will send an email to the recipient’s email address, which you provided, notifying the recipient of the ZIPS Gift Card that you purchased for them. There may be a delay from the time you pay the amount to be loaded onto your ZIPS Gift Card and those funds being available for the recipient’s use. If you received a Gift Card through the App, the dollar value of such Gift Card will automatically transfer to your App Account. ZIPS, Rocket Express, or Jet Brite will provide notice to the recipient of the availability of the Gift Card via the email address associated with such recipient’s Account in the App. A recipient of a Gift Card purchased through the App cannot use such Gift Card if the recipient does not have an Account registered with the App.
3.3. You acknowledge and agree that your Gift Card may be subject to additional limitations, which may be posted at the participating location (at the time of purchase), on the ZIPS Website (if applicable), or on the App.
3.4. We do not charge any activation, service, dormancy or inactivity fees in connection with your Gift Card. Your Gift Card has no expiration date nor does the value on your Gift Card ever expire. If your App Account carries a balance and your App Account is subsequently terminated, we will refund you for the balance associated with your App Account in accordance with Section 1.6.
Gift cards cannot be replaced or refunded if lost or stolen. Treat like cash.
4. Mobile App Rewards
4.1. Mobile App Rewards (the “Mobile App Rewards”) is one way in which ZIPS, Rocket Express, and Jet Brite endeavor to reward and thank loyal customers for making purchases through the App. Accounts associated with the App are able to earn and accumulate “points" that can be redeemed for several types of car washes and/or other rewards and services through the App ("Rewards"). ZIPS, Rocket Express, and Jet Brite may modify, suspend, or terminate the Mobile App Rewards program or revoke, modify, or limit participation in the program at any time without notice or liability. Mobile App Rewards are non-transferable, have no cash or monetary value, and cannot be redeemed for any currency or exchanged for cash.
4.2. Your App Account will not have any points or Rewards attached to it upon creation of such App Account, unless otherwise specified. The Rewards that are available to you through the App are based on the number of points you earn. Your App Account earns points for any dollar you spend through the App. This includes (a) pre-purchasing a car wash through the App while logged into your Account using the Payment Method (a “Pre-Purchased Wash”), (b) purchasing a Gift Card through the App, or (c) if you are subscribed to a membership program, then your subscription or prepaid fee for your membership plan (the “ Membership Fees”). For purposes of clarity, any Membership Fee not paid through the App will not earn your Account any points. Therefore, any Membership Fees will be charged against the Payment Method associated with your App Account. Notwithstanding anything to the contrary in these Terms and the Membership Program Terms of Service, you may not use funds obtained from a Gift Card to pay the Membership Fee.
4.3. If you purchase a Pre-Purchased Wash through the App, you may use the Pre-Purchased Wash by scanning the barcode or enter the code associated with such Pre-Purchased Wash at the applicable ocation or by following the posted instructions at the carwash location. Barcodes and codes will be made available to you in the App.
4.4. You will earn one (1) point for every one dollar ($1) you spend through the App using the Payment Method associated with your App Account, notwithstanding any promotion. If you receive a refund for fees paid through the App, points that you earned on that purchase may be deducted from your App Account.
4.5. From time to time, you may be offered opportunities to earn additional "bonus points" through special promotions. These promotional bonus points will be awarded as described in the applicable promotional offer and will be subject to any additional terms set forth in such promotional offer. Offer(s) subject to change, and may be modified, suspended or terminated at any time without notice. Offers void where prohibited by law. Other restrictions may apply.
4.6. Unless otherwise noted, points are automatically added to your account within one (1) hour of your eligible purchase and expire nine (9) months after the calendar month in which such points were earned. For example, if you earn points on December 15, 2020, they will expire on October 15, 2021. The oldest accrued points will be used first for redemptions. You can view and track your points balance and available Rewards through the Service. In addition, unless otherwise noted, your Rewards will expire six (6) months from the date the applicable points are redeemed for the reward. For example, if you use your points to redeem a Basic Plus Wash on December 15, 2020, you must use such wash by June 15, 2021. FURTHERMORE, TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU ACKNOWLEDGE AND AGREE THAT IF YOUR ACCOUNT IS TERMINATED BY ZIPS, ROCKET EXPRESS, OR JET BRITE OR IF YOU CHOOSE TO DEACTIVATE YOUR ACCOUNT FOR ANY REASON, THEN ANY POINTS YOU’VE EARNED AND ALL REWARDS ON THE TERMINATED ACCOUNT WILL IMMEDIATELY EXPIRE AND NO LONGER BE VALID.
5. Disclaimers of Warranties; Indemnification and Limitations on Liability
5.1. The CAR WASH SERVICES, CAR WASH PROGRAMS, THE MOBILE APP REWARDS and THE service, INCLUDING ALL CONTENT, are provided “AS IS” and “AS AVAILABLE” with all faults and without warranty of any kind (express oR implied). ZIPS, ROCKET EXPRESS, AND JET BRITE HEREBY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, WITH RESPECT TO THE CAR WASH SERVICES, MOBILE APP REWARDS, CAR WASH PROGRAMS, THE SERVICE AND THE CONTENT, INCLUDING WITHOUT LIMITATION ALL WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. further, ZIPS, ROCKET EXPRESS, AND JET BRITE make no representation OR WARRANTY that the Service is appropriate or available for use outside of the United States. If you access the Service from other locations, you are responsible for complying with local laws. without first obtaining, and then complying with, any requisite government authorization.
With respect to the App, you acknowledge and agree that updates to your existing mobile device operating systems or firmware may render your version of the App incompatible. ZIPS, ROCKET EXPRESS, AND JET BRITE do not warrant that the App will be backward or forward compatible with any updates to, or prior versions of, the mobile devices. ZIPS, ROCKET EXPRESS, AND JET BRITE may, but ARE not obligated to, provide you with updates to the App that improve compatibility with updated mobile devices.
5.2. Indemnity. You agree to indemnify and hold ZIPS, Rocket Express, Jet Brite, their subsidiaries, and affiliates, and respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, arising out of your use of the car wash services or the Service, including, but not limited to any violation of these Terms or any other policies, procedures, guidelines or notices presented to you by ZIPS, Rocket Express or Jet Brite. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request.
5.3. Vehicle Damage: ZIPS, ROCKET EXPRESS, AND JET BRITE do not represent that the car wash services are suitable for your vehicle(s). ZIPS, rocket express, and jet brite specifically disclaim liability for damage to your vehicle(s) with respect to the following items: POWER Antennas (need to remove or lower prior to wash entry), Front or Rear Automatic Wipers Left on During Wash, Bug Shields, Loose Molding AND Racks, Pre-Existing CONDITIONS OR Damage to Vehicle, Non-Factory Installed Accessories, Windshield, Electric Running Boards (should be retracted prior to entering wash) Driver Negligence, after market wheels, unsecured personal items. All truck beds must be completely empty prior to wash entry. No excessively muddy vehicles are permitted. no dually trucks are permitted. We will not assume liability for damage claims submitted more than 24 hours after a vehicle leaves the premises.
5.4. LIMITATION OF LIABILITY. ZIPS, ROCKET EXPRESS, AND JET BRITE, INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES, (COLLECTIVELY, THE “ZIPS PARTIES”) WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE CAR WASH SERVICES, MEMBERSHIP PROGRAMS, THE MOBILE APP REWARDS, OR THE SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE ZIPS PARTIES SHALL NOT HAVE ANY LIABILITY, ON ANY LEGAL BASIS WHATSOEVER, TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, PROPERTY DAMAGE, BODILY INJURY, USE, DATA, OR OTHER INTANGIBLES, ARISING OUT OF OR RELATING TO YOUR USE OF THE CAR WASH SERVICES, MEMBERSHIP PROGRAMS, THE MOBILE APP REWARDS, OR THE SERVICES EVEN IF THE ZIPS PARTIES WERE ADVISED OF OR WAS AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THE ZIPS PARTIES’ LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO ZIPS, ROCKET EXPRESS, OR JET BRITE IN THE SIX (6) MONTHS PRECEDING THE DATE OF THE EVENT THAT IS THE BASIS FOR THE CLAIM. Some jurisdictions do not allow certain limitations or exclusions of damages, so some of the foregoing disclaimers and limitations may not apply to you. SUBJECT TO SECTION 5.3, YOU AGREE THAT YOU MUST BRING ANY CLAIMS UNDER THESE TERMS OR OTHERWISE RELATED TO THE CAR WASH SERVICE, THE CAR WASH MEMBERSHIP PLANS, THE MOBILE APP REWARDS OR THE SERVICE, WITHIN ONE (1) YEAR OF THE DATE OF THE EVENT GIVING RISE TO SUCH ACTION OCCURRED.
6. Miscellaneous
6.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Texas without reference to conflict of law principles. ZIPS, Rocket Express, Jet Brite, and you hereby consent to the jurisdiction of the District Courts of the State of Texas in Collin County and the United States District Court for the Eastern District of Texas, Plano Division, and any proceeding arising between the parties hereto in any manner pertaining or related to this Agreement shall to the extent permitted by law, be held in Collin County, Texas.
6.2. New Ideas. “New Ideas” refers to the feedback you post on or through the Service or otherwise communicate to ZIPS, Rocket Express, or Jet Brite that is specifically about how we can improve the car wash services, car wash membership plans, Car Wash Programs, the Mobile App Rewards or the Service. Any New Ideas you provide to us will be and remain our exclusive property. Your submission of New Ideas will constitute an assignment to us of all worldwide rights, title and interests in your New Ideas, including all copyrights and other intellectual property rights in your New Ideas.
6.3. General. You agree that no joint venture, partnership, employment, or agency relationship exists between you and ZIPS, Rocket Express, or Jet Brite as a result of these Terms. The failure of Zips, Rocket Express, or Jet Brite to insist upon or enforce strict performance of any provision of these Terms shall not constitute a waiver of these Terms or any provision within. Licensors and contractors of Zips, Rocket Express, or Jet Brite are express third-party beneficiaries of any of these Terms that are applicable to their products or services, including disclaimers of warranty and limitations of liability, and shall have the right to enforce directly against you all of your applicable representations, warranties, covenants, indemnifications and obligations under these Terms. If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms will remain in full force and effect.
6.4. Entire Agreement. These Terms (together with our Privacy Policy and any click-through agreements applicable to you and all other policies, procedures, guidelines or notices presented to you by ZIPS, Rocket Express, or Jet Brite and the Membership Program Terms of Service and Fleet Program Terms of Service, if applicable, contain the entire understanding and agreement between you and ZIPS, Rocket Express, and Jet Brite with respect to the Service and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic, between you and ZIPS, Rocket Express, or Jet Brite with respect to the Service and your use of the Service.

You hereby acknowledge that ZIPS, Rocket Express, and Jet Brite disclaim all liabilities and all representation and warranties arising out of or in connection with your inclusion of any such bank account information, credit card information or other financial information in an email to ZIPS, Rocket Express, or Jet Brite.

ZIPS Car Wash, LLC (“ZIPS”, “us” or “we”) offers various car wash services and other services and programs. These programs and services may be made available to you via: https://zipscarwash.com/ (the “ZIPS Website”), as well as through ZIPS’ other brands: Rocket Express Car Wash (https://rocketexpress.zipscarwash.com/) (the “RE Website”), Jet Brite Car Wash (https://jetbrite.zipscarwash.com/) (the “JB Website”), and each of their respective mobile applications (each, an “App”) and physical locations (the ZIPS Website, RE Website, JB Website, Apps, and physical locations are collectively referred to as the “Service”). You understand that access to certain of these services and programs may require a fee. These Terms constitute a legal binding agreement between you and ZIPS and govern your use of the Service. These Terms also incorporate by reference our Privacy Policy and may also contain or reference additional terms applicable to your use of the car wash services and/or the Service.
By using the Service and/or clicking “I accept” in connection with your registration on the applicable website and/or App, you hereby agree to comply with and be bound by these Terms. You also represent that you are at least 18 years old and agree to abide by all applicable local, state, national, and international laws and regulations with respect to your use of the Service. Additionally, if you opt to join an unlimited car wash program (such as ZIPS Unlimited™, the Unlimited Car Wash Club or a Jet Pass™, or any other similar program) , you hereby agree to comply with and be bound by the Membership Program Terms of Service, which are incorporated herein by reference. If you opt to join an unlimited car wash program and do not agree to the Membership Program Terms of Service, you may not access or use the Service and should cease such use immediately, and in the case of the App, you should uninstall the App immediately.
You acknowledge and agree that ZIPS may update, modify, replace, update or change these Terms, in whole or in part, and at any time in its sole discretion, with or without prior notice to you. We will notify you of any changes to these Terms by notifying you via the email address registered with your Account (defined below) and/or posting such notice to the ZIPS Website, RE Website, JB Website and/or any of the Apps. These changes will be effective as of the date the revised version of the Terms are posted and made available through the Service. Your continued use of the Service and/or your car wash membership plan (subject to the Membership Program Terms of Service) constitutes your acceptance of any changes or modification to these Terms.
1. Use of the Service
1.1. Access to the Service. Subject to these Terms, we hereby grant to you a personal, non-exclusive, non-transferable, limited, and revocable license to use the Service (and associated Content (defined below) for personal use only in accordance with these Terms. If you download or otherwise access the App, ZIPS, Rocket Express, and Jet Brite hereby grant to you a personal, non-exclusive, non-transferable, limited, and revocable license to use the App (including any Content made available in the App) for your personal, non-commercial use. You understand and agree that you do not receive title to the ZIPS Website, RE Website, JB Website and/or any of the Apps, or any Content, and you may not distribute, make available or use the ZIPS Website, RE Website, JB Website and/or any of the Apps, or Content other than as permitted under these Terms. These Terms also govern any updates to, or supplements or replacements for, the App, unless separate terms accompany such updates, supplements, or replacements, in which case the separate terms will apply. To the extent the App requires, or permits utilization of, wireless or cellular data access, you shall be independently responsible for securing the necessary data access service. The provider of such access to your mobile device may charge you data access fees in connection with use of the App. You acknowledge that you are solely responsible for all such charges payable to third parties. By downloading the App, you warrant that you are not located in any country, or exporting such software to any person or place, to which the United States has embargoed goods. You agree to abide by U.S. and other applicable laws, including export control laws, and not to transfer, by electronic transmission or otherwise, any software or other content downloaded from the App to a destination prohibited by such laws, without first obtaining, and then complying with, any requisite government authorization.
If you breach any of these Terms, your right to access and use the Service may terminate immediately, with or without notice. Upon the termination of your access right, for any reason, you must immediately stop using the Service, including all Content, and return or destroy all copies, including electronic copies, of the Content in your possession or control.
1.2. Account Registration. In order to use certain features and components of the Service, you must register an account (an “Account”). By registering an Account, you may be able to, for example, manage your car wash membership plan (as further set forth in the Membership Program Terms of Service), manage your Mobile App Rewards (defined below), update your contact information and access additional benefits. All Account holders are responsible for (a) any activity that occurs through their Account and (b) updating and maintaining the accuracy of the information in the Account, including but not limited to a current, valid debit or credit card (which may be updated from time to time by you in accordance with these Terms) (the “Payment Method”) and email address associated with the Account. You are solely responsible to securely store and to not share your username or password to your Account with any other person. To register an Account, you must be at least 18 years of age. If you are submitting the personal information of any person other than yourself registering an account or purchasing any services or redeeming any rewards, you represent warrant that you have that person’s permission to provide us with that information, including all personal information.
1.3. Use Restrictions. You agree to use the Service in a manner consistent with any and all applicable rules and regulations and these Terms. You agree not to upload or transmit through the Service any computer viruses, Trojan horses, worms, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer. Any unauthorized modification, tampering or change of any information, or any interference with the availability of or access to the Service is strictly prohibited.
You agree that the access rights and license provided under these Terms do not allow you to use the Service on any device that you do not own or control, and you may not distribute the Service on any network where it could be used by devices owned by others. You may not modify, adapt, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code underlying the Service. You may not create any derivative works of the Service (including any Content). You also agree that you will neither (a) use any robot, spider, rover, scraper, or any other data-mining technology or automatic or manual process to monitor, cache, mask, extract data from, copy or distribute the Content (except as may be a result of standard search engine or Internet browser usage); nor (b) modify, provide access to, frame, reproduce, archive, sell, lease, rent, exchange, create derivative works from, publish by hard copy or electronic means, publicly perform, display, disseminate, distribute, broadcast, retransmit, circulate to any third party or on any third party website, or otherwise use the Service (including any Content) in any way except as specifically permitted by these Terms or otherwise in writing by us. You agree not to allow or assist any third party in violating or attempting to violate any of the above restrictions or prohibitions, whether or not for your benefit. The Service is subject to all restrictions on use, disclaimers of warranties and other provisions in these Terms. ZIPS, Rocket Express, and Jet Brite reserve all rights not expressly granted to you.
1.4. Email Notices. You understand and agree that ZIPS, Rocket Express, and/or Jet Brite will send you information relating to your Account, including the car wash membership plan and Mobile App Rewards (e.g., payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only to the email address associated with your account. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including any requirements that such communications be in writing. You agree that you are solely responsible for keeping the email address associated with your Account updated and accurate.
1.5. Text Messages.
1.5.1. Promotional Text Messages. You agree that Zips, Rocket Express, and Jet Brite (and others on their behalf) may send you automated marketing text messages (including, without limitation, communications about deals and promotions) to the mobile number you provided when you submitted your information at https://zipscarwash.com/, https://rocketexpress.zipscarwash.com/, or https://jetbrite.zipscarwash.com/ and clicked consent (or any number you later provide). You further agree that such messages may be sent using equipment that automatically selects and/or dials numbers. You acknowledge that this consent is not a condition of purchase, that message frequency will vary, and that message and data rates may apply.
1.5.2. Other Text Messages. You agree that ZIPS, Rocket Express, and Jet Brite (and others on their behalf) may send you automated text messages at the mobile number you provided (and any other number you provide). You further agree that such communications may include, without limitation, communications about appointments, purchases, services, balances, and debts. You further agree that such messages may be sent using equipment that automatically selects and/or dials numbers. You acknowledge that message and data rates may apply to such communications, and You agree that Your consent to these communications is material term of this Agreement that You cannot unilaterally modify or revoke.
1.5.3. Time of Day. You agree that, regardless of the purpose of the communication (including promotional or other messages), ZIPS, Rocket Express, and Jet Brite (and others on their behalf) may send you text messages at any time of day (including between 9:00 p.m. and 8:00 a.m. where you are located).
1.5.4. Contact Information. You represent and warrant that the name, address, telephone number(s), and other contact and payment information You provide to ZIPS, Rocket Express, or Jet Brite is accurate, complete, and current. You agree to notify ZIPS, Rocket Express, or Jet Brite immediately if there is any change to any of that information. Failure to do is a breach of this agreement.
1.6. Account Termination. To the maximum extent permitted by applicable law, and in addition to termination for non-payment as set forth in these Terms, ZIPS, Rocket Express, or Jet Brite may, for any reason and in their sole discretion, modify, refuse, suspend, deactivate, or terminate your Account, any purchased car wash membership plan, including your use of the carwash or other applicable services, without notice or liability. If ZIPS, Rocket Express, or Jet Brite refuses, suspends, deactivates, or terminates your Account, you may not register another Account (or purchase another car wash membership plan or participate in the Mobile App Rewards) without ZIPS’, Rocket Express, or Jet Brite’s prior permission. Further, ZIPS, Rocket Express, or Jet Brite may, at their discretion, suspend, deactivate or terminate your Account (and/or car wash membership plan or your Mobile App Rewards) to protect you, ZIPS, Rocket Express, or Jet Brite from identity theft or any other fraudulent activity. You may also deactivate your Account by following the instructions available on either the ZIPS Website, RE Website, JB Website and/or any of the Apps, as applicable. If your Account associated with the App has been terminated or deactivated while still carrying an account balance or having unused Pre-Purchased Washes (defined below) associated with it, ZIPS, Rocket Express, or Jet Brite shall not refund the value of such account balance or unused Pre-Purchased Wash to your then-current Payment Method. Any points or Rewards associated with your App Account will be treated in accordance with Section 4.6. If required under applicable state unclaimed property laws, we may transfer, report, or convey your remaining account balance and/or unused Pre-Purchased Washes to a state agency, as may be required.
Other Agreements. From time to time, ZIPS, Rocket Express, or Jet Brite may require you to follow additional rules, guidelines, or other conditions to sign up to use various special features or password-protected areas of the Service, to participate in certain promotions or activities available through the Service, or for other reasons. In such cases, you may be asked to expressly consent to these additional terms, for example, by checking a box or clicking on a button marked “I agree.” If any of the terms of a new click-through agreement are different than the terms of these Terms, the terms of the click-through agreement will supplement or amend these Terms, but only with respect to the matters governed by the “click-through agreement.”
2. Intellectual Property Ownership
2.1. By ZIPS, Rocket Express, or Jet Brite. The Service, including all of the software and code comprising or used to operate the Service, and all of the text, photographs, images, illustrations, graphics, sound recordings, video and audio-video clips, and other materials available through the Service (collectively, the “Content”) is protected under applicable intellectual property and other laws, including without limitation the laws of the United States and other countries. As between you and ZIPS, Rocket Express, and Jet Brite, you understand and agree that the Service and all Content, and all intellectual property rights therein, are the sole property of ZIPS, Rocket Express, or Jet Brite. You are authorized only to use the Content on the Service for personal use. Further, all of ZIPS, Rocket Express, and Jet Brite’s names, trademarks, brands and logos, and all related product and service names, designs and slogans contained in the Service are trademarks of ZIPS, Rocket Express, or Jet Brite, their affiliates, licensors and/or contractors unless otherwise clearly specified in writing. You may not use such marks without the prior written permission of ZIPS, Rocket Express, or Jet Brite. All other names, brands and marks are used for identification purposes only and may be the trademarks of their respective owners. All rights not expressly granted to you are reserved by ZIPS, Rocket Express, or Jet Brite.
3. Gift Cards
3.1. ZIPS and ZIPS’ other brands, Rocket Express Car Wash and Jet Brite Car Wash, may offer the option to purchase a gift card through the Service (“Gift Card”). We offer the Gift Card to make it easier for you to shop with us or provide a Gift Card as a gift to someone special. Unless otherwise required by law or as set forth in these Terms, the dollar value on any Gift Card is nonrefundable and may not be redeemed for cash. The dollar value on a Gift Card does not expire. The value on your Gift Card is not insured by the Federal Deposit Insurance Corporation (FDIC), nor does it earn interest.
3.2. ZIPS offers the option to purchase a Gift Card through the ZIPS Website. If a ZIPS Gift Card is purchased through the ZIPS Website, then such ZIPS Gift Card will be physically mailed to the address you specified and may only be redeemed at a participating ZIPS location. ZIPS, Rocket Express, and Jet Brite offer the option to purchase a Gift Card through the App. If a Gift Card is purchased through the App, the recipient will receive a redemption code they can use to load the Gift Card funds to their App Account. If the recipient does not have an App Account, then we will send an email to the recipient’s email address, which you provided, notifying the recipient of the ZIPS Gift Card that you purchased for them. There may be a delay from the time you pay the amount to be loaded onto your ZIPS Gift Card and those funds being available for the recipient’s use. If you received a Gift Card through the App, the dollar value of such Gift Card will automatically transfer to your App Account. ZIPS, Rocket Express, or Jet Brite will provide notice to the recipient of the availability of the Gift Card via the email address associated with such recipient’s Account in the App. A recipient of a Gift Card purchased through the App cannot use such Gift Card if the recipient does not have an Account registered with the App.
3.3. You acknowledge and agree that your Gift Card may be subject to additional limitations, which may be posted at the participating location (at the time of purchase), on the ZIPS Website (if applicable), or on the App.
3.4. We do not charge any activation, service, dormancy or inactivity fees in connection with your Gift Card. Your Gift Card has no expiration date nor does the value on your Gift Card ever expire. If your App Account carries a balance and your App Account is subsequently terminated, we will refund you for the balance associated with your App Account in accordance with Section 1.6.
Gift cards cannot be replaced or refunded if lost or stolen. Treat like cash.
4. Mobile App Rewards
4.1. Mobile App Rewards (the “Mobile App Rewards”) is one way in which ZIPS, Rocket Express, and Jet Brite endeavor to reward and thank loyal customers for making purchases through the App. Accounts associated with the App are able to earn and accumulate “points" that can be redeemed for several types of car washes and/or other rewards and services through the App ("Rewards"). ZIPS, Rocket Express, and Jet Brite may modify, suspend, or terminate the Mobile App Rewards program or revoke, modify, or limit participation in the program at any time without notice or liability. Mobile App Rewards are non-transferable, have no cash or monetary value, and cannot be redeemed for any currency or exchanged for cash.
4.2. Your App Account will not have any points or Rewards attached to it upon creation of such App Account, unless otherwise specified. The Rewards that are available to you through the App are based on the number of points you earn. Your App Account earns points for any dollar you spend through the App. This includes (a) pre-purchasing a car wash through the App while logged into your Account using the Payment Method (a “Pre-Purchased Wash”), (b) purchasing a Gift Card through the App, or (c) if you are subscribed to a membership program, then your subscription or prepaid fee for your membership plan (the “ Membership Fees”). For purposes of clarity, any Membership Fee not paid through the App will not earn your Account any points. Therefore, any Membership Fees will be charged against the Payment Method associated with your App Account. Notwithstanding anything to the contrary in these Terms and the Membership Program Terms of Service, you may not use funds obtained from a Gift Card to pay the Membership Fee.
4.3. If you purchase a Pre-Purchased Wash through the App, you may use the Pre-Purchased Wash by scanning the barcode or enter the code associated with such Pre-Purchased Wash at the applicable ocation or by following the posted instructions at the carwash location. Barcodes and codes will be made available to you in the App.
4.4. You will earn one (1) point for every one dollar ($1) you spend through the App using the Payment Method associated with your App Account, notwithstanding any promotion. If you receive a refund for fees paid through the App, points that you earned on that purchase may be deducted from your App Account.
4.5. From time to time, you may be offered opportunities to earn additional "bonus points" through special promotions. These promotional bonus points will be awarded as described in the applicable promotional offer and will be subject to any additional terms set forth in such promotional offer. Offer(s) subject to change, and may be modified, suspended or terminated at any time without notice. Offers void where prohibited by law. Other restrictions may apply.
4.6. Unless otherwise noted, points are automatically added to your account within one (1) hour of your eligible purchase and expire nine (9) months after the calendar month in which such points were earned. For example, if you earn points on December 15, 2020, they will expire on October 15, 2021. The oldest accrued points will be used first for redemptions. You can view and track your points balance and available Rewards through the Service. In addition, unless otherwise noted, your Rewards will expire six (6) months from the date the applicable points are redeemed for the reward. For example, if you use your points to redeem a Basic Plus Wash on December 15, 2020, you must use such wash by June 15, 2021. FURTHERMORE, TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU ACKNOWLEDGE AND AGREE THAT IF YOUR ACCOUNT IS TERMINATED BY ZIPS, ROCKET EXPRESS, OR JET BRITE OR IF YOU CHOOSE TO DEACTIVATE YOUR ACCOUNT FOR ANY REASON, THEN ANY POINTS YOU’VE EARNED AND ALL REWARDS ON THE TERMINATED ACCOUNT WILL IMMEDIATELY EXPIRE AND NO LONGER BE VALID.
5. Disclaimers of Warranties; Indemnification and Limitations on Liability
5.1. The CAR WASH SERVICES, CAR WASH PROGRAMS, THE MOBILE APP REWARDS and THE service, INCLUDING ALL CONTENT, are provided “AS IS” and “AS AVAILABLE” with all faults and without warranty of any kind (express oR implied). ZIPS, ROCKET EXPRESS, AND JET BRITE HEREBY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, WITH RESPECT TO THE CAR WASH SERVICES, MOBILE APP REWARDS, CAR WASH PROGRAMS, THE SERVICE AND THE CONTENT, INCLUDING WITHOUT LIMITATION ALL WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. further, ZIPS, ROCKET EXPRESS, AND JET BRITE make no representation OR WARRANTY that the Service is appropriate or available for use outside of the United States. If you access the Service from other locations, you are responsible for complying with local laws. without first obtaining, and then complying with, any requisite government authorization.
With respect to the App, you acknowledge and agree that updates to your existing mobile device operating systems or firmware may render your version of the App incompatible. ZIPS, ROCKET EXPRESS, AND JET BRITE do not warrant that the App will be backward or forward compatible with any updates to, or prior versions of, the mobile devices. ZIPS, ROCKET EXPRESS, AND JET BRITE may, but ARE not obligated to, provide you with updates to the App that improve compatibility with updated mobile devices.
5.2. Indemnity. You agree to indemnify and hold ZIPS, Rocket Express, Jet Brite, their subsidiaries, and affiliates, and respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, arising out of your use of the car wash services or the Service, including, but not limited to any violation of these Terms or any other policies, procedures, guidelines or notices presented to you by ZIPS, Rocket Express or Jet Brite. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request.
5.3. Vehicle Damage: ZIPS, ROCKET EXPRESS, AND JET BRITE do not represent that the car wash services are suitable for your vehicle(s). ZIPS, rocket express, and jet brite specifically disclaim liability for damage to your vehicle(s) with respect to the following items: POWER Antennas (need to remove or lower prior to wash entry), Front or Rear Automatic Wipers Left on During Wash, Bug Shields, Loose Molding AND Racks, Pre-Existing CONDITIONS OR Damage to Vehicle, Non-Factory Installed Accessories, Windshield, Electric Running Boards (should be retracted prior to entering wash) Driver Negligence, after market wheels, unsecured personal items. All truck beds must be completely empty prior to wash entry. No excessively muddy vehicles are permitted. no dually trucks are permitted. We will not assume liability for damage claims submitted more than 24 hours after a vehicle leaves the premises.
5.4. LIMITATION OF LIABILITY. ZIPS, ROCKET EXPRESS, AND JET BRITE, INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES, (COLLECTIVELY, THE “ZIPS PARTIES”) WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE CAR WASH SERVICES, MEMBERSHIP PROGRAMS, THE MOBILE APP REWARDS, OR THE SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE ZIPS PARTIES SHALL NOT HAVE ANY LIABILITY, ON ANY LEGAL BASIS WHATSOEVER, TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, PROPERTY DAMAGE, BODILY INJURY, USE, DATA, OR OTHER INTANGIBLES, ARISING OUT OF OR RELATING TO YOUR USE OF THE CAR WASH SERVICES, MEMBERSHIP PROGRAMS, THE MOBILE APP REWARDS, OR THE SERVICES EVEN IF THE ZIPS PARTIES WERE ADVISED OF OR WAS AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THE ZIPS PARTIES’ LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO ZIPS, ROCKET EXPRESS, OR JET BRITE IN THE SIX (6) MONTHS PRECEDING THE DATE OF THE EVENT THAT IS THE BASIS FOR THE CLAIM. Some jurisdictions do not allow certain limitations or exclusions of damages, so some of the foregoing disclaimers and limitations may not apply to you. SUBJECT TO SECTION 5.3, YOU AGREE THAT YOU MUST BRING ANY CLAIMS UNDER THESE TERMS OR OTHERWISE RELATED TO THE CAR WASH SERVICE, THE CAR WASH MEMBERSHIP PLANS, THE MOBILE APP REWARDS OR THE SERVICE, WITHIN ONE (1) YEAR OF THE DATE OF THE EVENT GIVING RISE TO SUCH ACTION OCCURRED.
6. Miscellaneous
6.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Texas without reference to conflict of law principles. ZIPS, Rocket Express, Jet Brite, and you hereby consent to the jurisdiction of the District Courts of the State of Texas in Collin County and the United States District Court for the Eastern District of Texas, Plano Division, and any proceeding arising between the parties hereto in any manner pertaining or related to this Agreement shall to the extent permitted by law, be held in Collin County, Texas.
6.2. New Ideas. “New Ideas” refers to the feedback you post on or through the Service or otherwise communicate to ZIPS, Rocket Express, or Jet Brite that is specifically about how we can improve the car wash services, car wash membership plans, Car Wash Programs, the Mobile App Rewards or the Service. Any New Ideas you provide to us will be and remain our exclusive property. Your submission of New Ideas will constitute an assignment to us of all worldwide rights, title and interests in your New Ideas, including all copyrights and other intellectual property rights in your New Ideas.
6.3. General. You agree that no joint venture, partnership, employment, or agency relationship exists between you and ZIPS, Rocket Express, or Jet Brite as a result of these Terms. The failure of Zips, Rocket Express, or Jet Brite to insist upon or enforce strict performance of any provision of these Terms shall not constitute a waiver of these Terms or any provision within. Licensors and contractors of Zips, Rocket Express, or Jet Brite are express third-party beneficiaries of any of these Terms that are applicable to their products or services, including disclaimers of warranty and limitations of liability, and shall have the right to enforce directly against you all of your applicable representations, warranties, covenants, indemnifications and obligations under these Terms. If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms will remain in full force and effect.
6.4. Entire Agreement. 1. Terms Not Defined Herein
1.1. All capitalized terms used in these Membership Program Terms of Service (the “Membership Terms”) shall have the same meaning in these Membership Terms as in the Terms of Service (the “Terms”), unless expressly defined otherwise in these Membership Terms.
2. Additional Terms
2.1. These Membership Terms apply to your access to, and participation in an unlimited car wash program (such as ZIPS Unlimited®, the Unlimited Car Wash Club or a Jet Pass™, or any other similar program) (each, a “Car Wash Program”), which is operated by ZIPS (or any one of its brands). These Membership Terms do not alter in any way the terms or conditions of any other agreement you may have with ZIPS for the Service and other services, including the Terms, and programs such as the Mobile App Rewards.
2.2. In the event of a conflict between a provision of these Membership Terms and the Terms, then for purpose of the Car Wash Program, the Membership Terms shall control over the Terms.
3. Car Wash Membership Plans
3.1. Overview. We currently offer several Car Wash Programs. You may find further information about the Car Wash Programs in our Services, including our websites, to learn more about the details of each of our plans. As used in these Membership Terms, all references to "unlimited" or "unlimited service" means:
For a ZIPS location: up to two (2) car washes per day, 7 days a week, 52 weeks a year for active membership accounts. Additional information may be presented to you when you register for a membership plan. These membership plans may not be offered at all locations and the details may vary from location to location. For a Jet Brite location: up to one (1) car washes per day, 7 days a week, 52 weeks a year for “regular”, non-commercial active membership accounts. Additional information may be presented to you when you register for a membership plan. Additionally, Jet Brite may offer separate car wash plans for commercial taxi and rideshare use. Membership plans may not be offered at all locations and the details may vary from location to location. For additional details, you should contact your local Jet Brite car wash location. For a Rocket Express location: there are no limits on the number of car washes per day. Additional information may be presented to you when you register for a membership plan. In order to receive the benefits of your selected Car Wash Program, you may be required to affix your issued radio frequency identification (“RFID”) sticker to your registered vehicle’s front windshield. If applicable, RFID stickers will be made available at your local car wash location. You must have your membership number, located on your RFID sticker, available in order to link your Account to your selected car wash membership plan. You agree not to tamper with, copy or share a vehicle’s RFID sticker. If you sell or dispose of a vehicle registered under a car wash membership plan, you must transfer the Car Wash Program to another vehicle through the Service. If you require a replacement RFID sticker, you must visit an applicable car wash location. At other applicable locations, we may instead utilize license plate readers to identify your vehicle. Please note that your vehicle make and model must match the license plate number you register with ZIPS (or one of its brands). You are responsible for checking to make sure the license plate number is not obstructed during the reading process. If you have any questions, please contact your applicable local car wash location.
ZIPS, Rocket Express, and Jet Brite reserve the right to change the details, fees and other information in any manner and at any time as ZIPS, Rocket Express, or Jet Brite may determine in their sole and absolute discretion, without notice or liability. We will notify you of any changes to your Car Wash Program via the email address associated with your account and/or posting such notice to the ZIPS, Rocket Express, or Jet Brite website and/or any of the Apps.
EXCEPT FOR SPECIFIED COMMERCIAL-USE PLANS OR AS OTHERWISE PERMITTED BY US IN WRITING, YOU ACKNOWLEDGE Each purchased CAR WASH PROGRAM MEMBERSHIP plan MAY ONLY BE USED WITH a single, personal, non-commercial vehicle. YOU also ACKNOWLEDGe that Resale or transfer of your CAR MEMBERSHIP PLAN or RFID sticker (IF APPLICABLE) to another vehicle or person is expressly prohibited. IF YOU REGISTER OR USE A COMMERCIAL VEHICLE IN A NON-COMMERCIAL CAR WASH PROGRAM, WE RESERVE THE RIGHT TO TERMINATE OR CANCEL YOUR CAR WASH PROGRAM MEMBERSHIP PLAN OR TRANSFER YOU TO A COMMERCIAL PLAN AT OUR SOLE DISCRETION.
3.2. Membership Fees; Payment. ZIPS (or one of its brands) may offer Car Wash Programs plans on a subscription-basis and/or prepaid basis.
Subscription plans will commence upon ZIPS, Rocket Express, or Jet Brite’s acceptance of your Payment Method and your acceptance of the Terms and these Membership Terms. The initial payment will include the first months’ Membership Fee as well as any other applicable on-boarding charges communicated to you in order to activate your selected car wash membership plan. Prepaid memberships will commence upon ZIPS, Rocket Express, or Jet Brite’s acceptance of your Payment Method and your acceptance of the Terms and these Membership Terms; however, you will pay for the duration of the applicable term (e.g., annual, 6-month) upfront. Notwithstanding anything to the contrary in the Terms and these Membership Terms, you may not use funds obtained from a Gift Card to pay any Membership Fees.
You may update your Payment Method by using the Service to access your Account and input the changes. Following any update to your Payment Method, you hereby authorize ZIPS, Rocket Express, and Jet Brite to continue to charge the applicable Payment Method the Membership Fees. Furthermore, if you subscribe to a Car Wash Program through an applicable car wash location or Website, then you may transfer your Car Wash Program membership to your Account associated with the App. If you effect such a transfer, then, subject to the Terms, any Membership Fees paid by the Payment Method associated with your App Account will earn points on your App Account, which you may use to redeem Rewards.
In addition, if a discounted introductory period is also made available to you, then it will be specified at the time of purchase. The availability, duration, and any other terms for any such introductory period may vary as determined by the applicable car wash location and at its sole discretion. AT THE EXPIRATION OF ANY SUCH INTRODUCTORY PERIOD, YOU UNDERSTAND AND AGREE THAT YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT MEMBERSHIP FEES FOR THE APPLICABLE CAR WASH MEMBERSHIP PLAN ON YOUR NEXT BILLING CYCLE. SUBSCRIPTION-BASED MEMBERSHIPS WILL AUTOMATICALLY RENEW ON A MONTHLY BASIS IN ACCORDANCE WITH THESE TERMS. IF YOU DO NOT WANT YOUR SUBSCRIPTION-BASED MEMBERSHIP TO AUTOMATICALLY RENEW, THEN YOU MUST REQUEST A CANCELLATION OF YOUR SUBSCRIPTION-BASED MEMBERSHIP NO LATER THAN SEVEN (7) DAYS BEFORE YOUR MONTHLY BILLING DATE. Notwithstanding anything to the contrary herein, ZIPS, Rocket Express, and Jet Brite reserve the right to revoke any such discounted introductory period and charge you the then-current Membership Fees for the applicable car wash membership plan, or suspend your Account, in the event that ZIPS, Rocket Express, or Jet Brite determine that you are not eligible for the introductory discount.
You understand and agree that SUBSCRIPTION-BASED car wash membership planS automatically renew on a monthly basis; HOWEVER, PREPAID MEMBERSHIP PLANS WILL NOT RENEW AFTER THE SPECIFIED TERM EXPIRES. FOR SUBSCRIPTION-BASED car wash membership planS, You hereby acknowledge, agree and consent to ZIPS, Rocket Express, or jet brite automatically charging the applicable mEMBERSHIP FEES to your selected Payment Method, on a recurring, monthly basis until such SUBSCRIPTION-BASED plan is canceled or terminated in accordance with these Terms. MEMBERSHIP FEES WILL BE CHARGED MONTHLY IN ADVANCE ON YOUR MONTHLY BILLING DATE. You will receive an invoice at the email address associated with your Account in connection with each payment for the Membership Fees. Payments are processed by our PCI-compliant third-party payment processor. For additional information, please see our Privacy Policy.
If a payment is not successfully settled due to expiration, insufficient funds, or otherwise, ZIPS, Rocket Express, or Jet Brite may, upon notice sent to your email address associated with your Account, suspend or terminate your access to the applicable car wash membership plan. ZIPS, Rocket Express, and Jet Brite reserve the right to recharge your Payment Method; provided, however, that if payment is not successfully settled within 5 days of your monthly billing date, your access to the car wash membership plan and/or your Account may be terminated. You acknowledge that in order to reactivate your car wash membership plan, you must visit an applicable car wash location. You understand and agree that you may be charged additional fees if your Payment Method is unsuccessful the first time. You agree that is your responsibility to check with your Payment Method service provider for further details. You understand and agree that ZIPS, Rocket Express, and Jet Brite will have no responsibility or liability if your Payment Method is declined by your financial institution.
3.3. Cancellation and Termination; Refunds.
3.3.1. Subscription Plans. YOU RETAIN THE RIGHT WITHOUT ADDITIONAL COST OR PENALTY TO CANCEL YOUR SUBSCRIPTION-BASED CAR WASH MEMBERSHIP PLAN AT ANY TIME IN THE APP BY TAPPING THE GARAGE MENU, “MANAGE,” THEN “CANCEL PLAN,” OR BY CONTACTING THE CUSTOMER CARE TEAM AT: (855) 947-7927 IF YOU PURCHASED YOUR MEMBERSHIP PLAN IN-PERSON USING A PAPER ENROLLMENT FORM, YOU MAY NEED TO MIGRATE YOUR PLAN TO THE APP BEFORE USING THE APP TO CANCEL (TO MIGRATE, TAP THE MORE MENU, THEN “MIGRATE MY PLAN TO THE APP”). A CANCELLATION REQUEST MUST BE MADE NO LATER THAN SEVEN (7) DAYS BEFORE THE MONTHLY BILLING DATE. A CANCELLATION REQUEST MADE LESS THAN SEVEN (7) DAYS BEFORE THE MONTHLY BILLING DATE MAY RESULT IN CHARGES FOR ONE ADDITIONAL MONTH. ZIPS, ROCKET EXPRESS, AND JET BRITE MAY ISSUE REFUNDS OR DISCOUNTS AT THEIR SOLE AND ABSOLUTE DISCRETION AND IN ACCORDANCE WITH APPLICABLE LAW.
3.3.2. Prepaid Plans. Prepaid MEMBERSHIP plans may only be canceled within the first month of the membership plan. After the first month, prepaid MEMBERSHIP plans are non-cancelable and non-refundable. If you are not satisfied with your prepaid membership plan, you may contact the Customer Care Team at: (855) 947-7927. If you are not satisfied and wish to cancel your prepaid membership plan, you may request to do so in the first month of your plan. If your prepaid membership plan is canceled, you will receive a refund equal to the prepayment portion of the Membership Fees paid for the remaining of the term (e.g., if you prepaid for a six-month membership, then you will receive a refund for months two through six).
3.3.3. Membership/Account Termination. To the maximum extent permitted by applicable law, and in addition to termination for non-payment as set forth in Section 3.2, ZIPS, Rocket Express, and Jet Brite may, for any reason and in their sole discretion, refuse, suspend, deactivate, or terminate your car wash membership plan and/or your Account. Except as required by applicable law, ZIPS, Rocket Express, and Jet Brite are not obligated to credit or discount your Membership Fees for any such refusals, suspensions, deactivations, or terminations.
3.4. Disclaimers of Warranties; Indemnification and Limitations on Liability. EACH Car Wash Program and THE CAR WASH MEMBERSHIP Plans are provided “AS IS” and “AS AVAILABLE” with all faults and without warranty of any kind (express oR implied). ZIPS, rocket express, and jet brite do not guarantee, represent, or warrant that ANY CAR WASH MEMBERSHIP PLAN will be available at ANY OTHER location. ZIPS, rocket express, and jet brite HEREBY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, WITH RESPECT TO ANY Car Wash Program and any CAR WASH MEMBERSHIP PLAN, INCLUDING WITHOUT LIMITATION ALL WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.
You agree to indemnify and hold ZIPS, Rocket Express, Jet Brite, their subsidiaries, and affiliates, and respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, arising out of your use of the car wash services or any car wash membership plans, including, but not limited to any violation of the Terms, these Membership Terms, or any other policies, procedures, guidelines or notices presented to you by ZIPS. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request.
ZIPS, ROCKET EXPRESS, AND JET BRITE, INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES, (COLLECTIVELY, THE “ZIPS PARTIES”) WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF ZIPS UNLIMITED® OR ANY CAR WASH MEMBERSHIP PLAN. TO THE FULLEST EXTENT PERMITTED BY LAW, THE ZIPS PARTIES SHALL NOT HAVE ANY LIABILITY, ON ANY LEGAL BASIS WHATSOEVER, TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, PROPERTY DAMAGE, BODILY INJURY, USE, DATA, OR OTHER INTANGIBLES, ARISING OUT OF OR RELATING TO YOUR USE OF ANY CAR WASH PROGRAM OR ANY CAR WASH MEMBERSHIP PLAN, EVEN IF THE ZIPS PARTIES WERE ADVISED OF OR WAS AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THE ZIPS PARTIES’ LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO ZIPS IN THE SIX (6) MONTHS PRECEDING THE DATE OF THE EVENT THAT IS THE BASIS FOR THE CLAIM. Some jurisdictions do not allow certain limitations or exclusions of damages, so some of the foregoing disclaimers and limitations may not apply to you. SUBJECT TO SECTION 5.3 OF THE TERMS, YOU AGREE THAT YOU MUST BRING ANY CLAIMS UNDER THESE MEMBERSHIP TERMS OR OTHERWISE RELATED TO THE CAR WASH SERVICE, ANY CAR WASH PROGRAM, OR ANY CAR WASH MEMBERSHIP PLANS WITHIN ONE (1) YEAR OF THE DATE OF THE EVENT GIVING RISE TO SUCH ACTION OCCURRED.

YOU RETAIN THE RIGHT WITHOUT ADDITIONAL COST OR PENALTY TO CANCEL YOUR SUBSCRIPTION-BASED CAR WASH MEMBERSHIP PLAN AT ANY TIME IN THE APP BY TAPPING THE GARAGE MENU, “MANAGE,” THEN “CANCEL PLAN,” OR BY CONTACTING THE CUSTOMER CARE TEAM AT: (855) 947-7927 IF YOU PURCHASED YOUR MEMBERSHIP PLAN IN-PERSON USING A PAPER ENROLLMENT FORM, YOU MAY NEED TO MIGRATE YOUR PLAN TO THE APP BEFORE USING THE APP TO CANCEL (TO MIGRATE, TAP THE MORE MENU, THEN “MIGRATE MY PLAN TO THE APP”). A CANCELLATION REQUEST MUST BE MADE NO LATER THAN SEVEN (7) DAYS BEFORE THE MONTHLY BILLING DATE. A CANCELLATION REQUEST MADE LESS THAN SEVEN (7) DAYS BEFORE THE MONTHLY BILLING DATE MAY RESULT IN CHARGES FOR ONE ADDITIONAL MONTH. ZIPS, ROCKET EXPRESS, AND JET BRITE MAY ISSUE REFUNDS OR DISCOUNTS AT THEIR SOLE AND ABSOLUTE DISCRETION AND IN ACCORDANCE WITH APPLICABLE LAW.
3.3.2. Prepaid Plans. Prepaid MEMBERSHIP plans may only be canceled within the first month of the membership plan. After the first month, prepaid MEMBERSHIP plans are non-cancelable and non-refundable. If you are not satisfied with your prepaid membership plan, you may contact the Customer Care Team at: (855) 947-7927. If you are not satisfied and wish to cancel your prepaid membership plan, you may request to do so in the first month of your plan. If your prepaid membership plan is canceled, you will receive a refund equal to the prepayment portion of the Membership Fees paid for the remaining of the term (e.g., if you prepaid for a six-month membership, then you will receive a refund for months two through six).
3.3.3. Membership/Account Termination. To the maximum extent permitted by applicable law, and in addition to termination for non-payment as set forth in Section 3.2, ZIPS, Rocket Express, and Jet Brite may, for any reason and in their sole discretion, refuse, suspend, deactivate, or terminate your car wash membership plan and/or your Account. Except as required by applicable law, ZIPS, Rocket Express, and Jet Brite are not obligated to credit or discount your Membership Fees for any such refusals, suspensions, deactivations, or terminations.
3.4. Disclaimers of Warranties; Indemnification and Limitations on Liability. EACH Car Wash Program and THE CAR WASH MEMBERSHIP Plans are provided “AS IS” and “AS AVAILABLE” with all faults and without warranty of any kind (express oR implied). ZIPS, rocket express, and jet brite do not guarantee, represent, or warrant that ANY CAR WASH MEMBERSHIP PLAN will be available at ANY OTHER location. ZIPS, rocket express, and jet brite HEREBY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, WITH RESPECT TO ANY Car Wash Program and any CAR WASH MEMBERSHIP PLAN, INCLUDING WITHOUT LIMITATION ALL WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.
You agree to indemnify and hold ZIPS, Rocket Express, Jet Brite, their subsidiaries, and affiliates, and respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, arising out of your use of the car wash services or any car wash membership plans, including, but not limited to any violation of the Terms, these Membership Terms, or any other policies, procedures, guidelines or notices presented to you by ZIPS. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request.
ZIPS, ROCKET EXPRESS, AND JET BRITE, INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES, (COLLECTIVELY, THE “ZIPS PARTIES”) WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF ZIPS UNLIMITED® OR ANY CAR WASH MEMBERSHIP PLAN. TO THE FULLEST EXTENT PERMITTED BY LAW, THE ZIPS PARTIES SHALL NOT HAVE ANY LIABILITY, ON ANY LEGAL BASIS WHATSOEVER, TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, PROPERTY DAMAGE, BODILY INJURY, USE, DATA, OR OTHER INTANGIBLES, ARISING OUT OF OR RELATING TO YOUR USE OF ANY CAR WASH PROGRAM OR ANY CAR WASH MEMBERSHIP PLAN, EVEN IF THE ZIPS PARTIES WERE ADVISED OF OR WAS AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THE ZIPS PARTIES’ LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO ZIPS IN THE SIX (6) MONTHS PRECEDING THE DATE OF THE EVENT THAT IS THE BASIS FOR THE CLAIM. Some jurisdictions do not allow certain limitations or exclusions of damages, so some of the foregoing disclaimers and limitations may not apply to you. SUBJECT TO SECTION 5.3 OF THE TERMS, YOU AGREE THAT YOU MUST BRING ANY CLAIMS UNDER THESE MEMBERSHIP TERMS OR OTHERWISE RELATED TO THE CAR WASH SERVICE, ANY CAR WASH PROGRAM, OR ANY CAR WASH MEMBERSHIP PLANS WITHIN ONE (1) YEAR OF THE DATE OF THE EVENT GIVING RISE TO SUCH ACTION OCCURRED.
